Terms of Service

1. Acceptance of Terms

By accessing or using Payo (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Payo is a proposal intelligence platform designed to help freelancers create polished proposals, uncover scope risks, price projects confidently, and access strategic guidance. The Service includes proposal workflows, Strategist analysis, Deep Strategy Runs, proposal export tools, pricing benchmarks, community contribution features, and related features as described on our website.

3. Accounts and Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@trypayo.com of any unauthorized use of your account.

4. Subscriptions and Billing

Payo offers Free, Pro, and Agency subscription plans as described on our pricing page. Paid plans are billed on a monthly or annual basis as selected at checkout.

All fees are stated in USD and are non-refundable except as required by law or as otherwise stated in these Terms.

We reserve the right to change pricing with reasonable notice. Price changes will be communicated via email or in-app notification at least 14 days before taking effect.

Annual subscriptions are billed upfront for the full year. Monthly subscriptions renew automatically each month unless cancelled.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Deep Strategy Runs and Add-Ons

Deep Strategy Runs are a premium feature available on paid plans and as purchasable add-on packs. Included monthly runs do not roll over to the following month. Purchased run packs expire 12 months from the date of purchase.

We reserve the right to implement fair-use policies to ensure service quality for all users. Specific limits may be detailed in our Acceptable Use Policy, pricing page, or in-app notices.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation.
• Transmit any unsolicited or unauthorized advertising or promotional material.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Payo or users of the Service.
• Use automated tools to scrape, crawl, or systematically extract data from the Service.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Use the Service in any manner that could disable, overburden, damage, or impair the Service.
• Submit, upload, or contribute any information, documents, or materials that you do not have the legal right to disclose or share.
• Submit information that violates any confidentiality obligation, non-disclosure agreement, contractual restriction, privacy right, intellectual property right, or applicable law.

You are solely responsible for the information, documents, and materials you submit through the Service, including any voluntary contributions to Payo's pricing database, research initiatives, benchmarking programs, surveys, or community datasets.

We reserve the right to suspend or terminate accounts that violate these Terms.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Payo and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Payo.

You retain ownership of the content you create using the Service, including proposals, project information, pricing information, and related documents. By using the Service, you grant Payo a limited, non-exclusive license to process, store, analyze, display, and transmit such content as necessary to provide, maintain, secure, improve, and develop the Service.

8. Use of Aggregated and De-identified Data

Payo may create aggregated and de-identified datasets derived from user activity, proposal information, project characteristics, pricing information, platform usage, and Community Contributions.

These datasets may be used to:

• Improve the Service
• Develop benchmarks and market insights
• Improve recommendations and AI-powered features
• Conduct analytics and research
• Develop future products and services

Payo will not intentionally disclose personally identifiable information, client names, project names, proposal contents, or other information that reasonably identifies individual users or clients within these datasets.

9. Voluntary Community Contributions

Payo may offer opportunities for users to voluntarily contribute information about past projects, pricing, project characteristics, and related materials for use in benchmarking, research, analytics, and product development initiatives (“Community Contributions”).

Participation is entirely voluntary and separate from your use of the core Service.

By submitting Community Contributions, you represent and warrant that:

• You have the legal right to provide the information and materials submitted.
• Your submission does not violate any confidentiality obligation, non-disclosure agreement, contractual restriction, intellectual property right, privacy right, or applicable law.
• You have removed or appropriately redacted any information you are not authorized to disclose.

Payo does not review every submission for confidentiality, ownership, privacy, or legal compliance and is entitled to rely on your representations regarding your right to submit the information.

You grant Payo a perpetual, worldwide, non-exclusive, royalty-free license to use, analyze, modify, aggregate, de-identify, store, and incorporate Community Contributions into benchmarks, insights, analytics, research, product features, and related services.

Payo will not intentionally publish identifying information from submitted materials as part of public benchmarks or reports.

You may request deletion of Community Contributions by contacting support@trypayo.com. Payo will make commercially reasonable efforts to remove the contributed materials within a reasonable period, subject to legal obligations, backup retention practices, and technical limitations.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

11. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Payo. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party services you use.

12. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. Payo does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Payo's strategic and pricing suggestions are provided for informational purposes only and do not constitute professional financial, legal, accounting, tax, or business advice.

AI-generated outputs, recommendations, benchmarks, pricing suggestions, community-derived insights, and strategic guidance may contain inaccuracies, omissions, or outdated information and should be independently reviewed before use.

Users remain solely responsible for all pricing decisions, proposals, client communications, contracts, and business decisions made using the Service.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Payo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, business interruption, or client relationships arising out of or in connection with your use of the Service.

In no event shall Payo's total liability to you exceed the amount you paid to Payo in the twelve months preceding the claim.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease.

If you wish to terminate your account, you may do so through your account settings or by contacting us at support@trypayo.com.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide reasonable notice of significant changes via email or in-app notification.

Your continued use of the Service after any changes take effect constitutes your acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the jurisdiction of those courts.
